STATUTES - CONDITIONS OF MEMBERSHIP


1-1) The membership in the “Swiss Business Council – Lebanon” is restricted to:

1-1-1) Lebanese and Swiss companies and establishments acting locally and internationally, and mainly between Lebanon and the Swiss Confederation, and bound by the objectives of the Association.

1-1-2) Lebanese and Swiss traders and businessman, working locally and internationally, and mainly between Lebanon and the Swiss Confederation and bound by the objectives of the Association.

1-1-3) Lebanese and Swiss individuals holding high managerial positions in companies and establishments acting on the international level and having ties with each of the Swiss Confederation and Lebanon.

1-1-4) Lebanese and Swiss individuals who do not belong to any of the above categories and who have effectively contributed to the constitution of the Association and enacting its entity and ensuring the proper progress of its work and activity.

1-1-5) And in general, can be member of the Association, any other physical or moral person, the Administrative Board accepts, in case it finds his admission adequate to ensure the fulfillment of the objectives and aims of the Association.

1-2) The member of the Association must meet the following requirements:

1-2-1) In case of a natural person

1-2-1-1) Is aged twenty-one and above.

1-2-1-2) Accepts the regulations of the Association, the resolutions of the General Assembly
and the Administrative Board, and is willing to work to fulfill the objectives of the
Association.

1-2-1-3) Has submitted before the Administrative Board – through its secretary – a membership
application, the same being reviewed and accepted by the said Board during a regular
meeting, upon a resolution approved by tree-quarters of its members.

1-2-1-4) The admitted member shall pay the admission fees, amounting to two hundred
thousand Lebanese pounds in addition to the annual contribution due for the current
year ending on December 31 of the same year, currently fixed to three hundred
thousand Lebanese pounds.


1-2-2) In case of a moral person:

1-2-2-1) Is a legal entity either in Lebanon or in the Swiss Confederation.

1-2-2-2) Accepts the regulations of the Association, the resolutions of the General Assembly
and the Administrative Board, and is willing to work to fulfill the objectives of the
Association.

1-2-2-3) Has submitted before the Administrative Board – through its secretary – a membership
application, the same being reviewed and accepted by the said Board during a regular
meeting, upon a resolution approved by three-quarters of its members.

1-2-2-4) The admitted member shall pay the admission fees, amounting to two hundred
thousand Lebanese pounds in addition to the annual contribution due for the current
year ending on December 31 of the same year, currently fixed to three hundred
thousand Lebanese pounds.

1-2-2-5) The admitted member shall be represented towards the Association by its official
representative who can be modified at any time by a letter addressed by such moral
person member to the Administrative Board.

1-2-2-5-1) If such official representative of a moral person member of the Association is elected
as a member of the Administrative Board, his election shall be deemed on a personal
basis and not as the official representative of a moral person member.

1-2-2-5-2) If such official representative of a moral person member of the Association elected as
a member of the Administrative Board is to leave or to lose, his position as official
representative of a moral person member, he will, de facto lose his membership in
the Administrative Board.

1-2-2-5-3) If such member of the Administrative Board losing his membership in the Board
further to the provisions of section 1-2-2-5-2) here above, is the President of the
Association, the Vice-President shall become the acting President of the Association
and a new Vice-President shall be reelected from within and by the members of the
Administrative Board.
